Many forms of company registration is done in India, including private limited, one person, limited company, partnership, etc. All the companies are liable for filing annual returns with the registrar of companies for every year. The process of annual compliance involves conducting Annual General Meeting and filing annual accounts with Registrar of Companies (ROC). The Annual General Meeting has to be held within 6 months from the end of financial year and for a new company the first AGM has to be held within 18 months from the incorporation date or 9 months before the close of financial year.  

Forms to file with ROC

·  ROC form MGT7: It contains information about the shareholding structure, change in directorship and details about transfer of shares within the year. Its due date for ROC is 28th November, which is 60 days from the conclusion of AGM.

·   ROC form AOC4: It has data and annexure details about Balance Sheet of the Company, Profit & Loss Account, Compliance Certificate, Registered Office Address, Register of Member, Shares and Debentures details, Debt details and other information about Management of the Company.

·      ROC form ADT1: This is essential for auditor appointment. The ROC Form ADT 1 submission is necessary by 14th October i.e. within 15 days from the conclusion of AGM.
