The
meaning of OPC is One Person Company. Unlike the traditional manner of establishing
a company (having at least two members), there is only one person needed to
form an OPC company. Although the concept of OPC is not new in the business
world, it is legally recognized in the UK, USA, China, Singapore, Turkey, UAE,
and Pakistan. In 2005, India enacted a law and allowed OPC companies in the
country. The objective of enacting such law is to encourage young entrepreneurs
to start their ventures and give a significant contribution to the GDP growth
of the country. OPC under the Companies Act, 2013 is a separate legal entity
having perpetual succession, which is required to be registered as per the
provisions of the Companies Act, 2013.
Registration process for One Person Company
(OPC): The registration
process for One Person Company is below:
Apply
for DSC:
A
Person who wants to register for One Person Company, he/ she has to obtain the
digital signature certificate, which he/she will get after submitting address
proof, aadhaar card, pan card, photo, email id, phone number.
Apply
for DIN:
After
DSC, apply for the Director Identification Number (DIN) along with name and
address proof. Form DIR-3 is the option
only available for existing companies.
Name
approval application:
After
Digital Signature Certificate and Director Identification Number, the next step
is to decide the name of the Company. For this, a person has to visit the
website of Ministry of Corporate Affairs and choose a unique name for the
company. Once the name is approved by the MCA, person can go ahead.
Further
documents required:
· The Memorandum of
Association (MoA) in which company states about the business for which the
company is going to be incorporated.
· The Articles of the
Association (AoA) which lays down the by-laws on which the company will
operate.
·
The person’s nominee.
His/her consent in Form INC – 3 will be taken along with his PAN card and
Aadhar Card.
· Proof of the Registered
office of the proposed Company along with the proof of ownership and a NOC from
the owner.
· Affidavit and Consent of the
proposed Director of Form INC -9 and DIR – 2 resp.
· A declaration by the professional
certifying that all compliances have been made.
Filling
of Form with MCA:
All these documents will be attached to SPICe
Form, SPICe-MOA and SPICe-AOA along with the DSC of the Director and the
professional, and will be uploaded to the MCA site for approval.
Issue of the certificate of
Incorporation:
Once the verification of all documents, the
Registrar of Companies (ROC) issues the Certificate of Incorporation.
